By accessing and using this Site, you agree to comply with the following Terms and Conditions (“Terms”), which govern your use of this Site and the services provided through it. 3. Independent Contractors

Counselling services offered through Vitality Collective Inc. are provided by independent contractors who are Registered Clinical Counsellors, Canadian Certified Counsellors, or Registered Social Workers. While we carefully contract with qualified professionals, we do not directly supervise or control the services they provide.

Any formal complaints about the services rendered that cannot be resolved directly with the counsellor should be submitted to the counsellor’s respective governing body or professional association for further resolution. Vitality Collective Inc. assumes no responsibility or liability for the services provided by independent contractors, and by using this Site, you agree to indemnify and hold Vitality Collective Inc. harmless from any claims or damages arising from the counselling services provided.

4. Acceptable Use

By using this Site, you agree to do so in a lawful manner. You are strictly prohibited from:

  • Violating any intellectual property rights of the Company or third parties.

  • Engaging in illegal activities through the Site.

If we suspect that you are using the Site unlawfully or in violation of these Terms, we reserve the right to suspend, restrict, or terminate your access without notice. Legal action may be pursued where applicable.

5. Sale of Services

The services offered through this Site are governed by these Terms. Vitality Collective Inc. offers professional counselling services through its independent contractors. By purchasing these services, you agree to the following:

  • Payment is due in full upon completion of services.

  • Service details, including descriptions and images, are provided for informational purposes only. While we strive for accuracy, discrepancies may exist, and services are purchased at your own risk.

Vitality Collective Inc. reserves the right to modify, reject, or cancel any service request.

6. Third-Party Goods and Services

From time to time, our Site may feature goods or services provided by third parties. Vitality Collective Inc. does not guarantee the quality, accuracy, or reliability of any third-party offerings. The Company assumes no responsibility for any third-party content linked to on our Site.

7. Payments

We accept the following payment methods for services requested through the Site:

  • Credit Card

  • E-transfer

By submitting payment information, you authorize us to charge your selected payment method for the total amount due. If we believe your payment violates any applicable laws or these Terms, we reserve the right to reverse the transaction or cancel the service.

8. Refunds

Refunds for Services:
If a counselling service is canceled at least 48 hours before the scheduled session, no fee will be charged. Refunds for services will not apply if cancellations occur within 48 hours of the scheduled service.

9. Consumer Protection Laws

These Terms are subject to the Business Practices and Consumer Protection Act (British Columbia) and any other relevant consumer protection legislation. If a conflict arises between these Terms and such legislation, the provisions of the applicable legislation will prevail.

10. Links to Other Websites

Our Site may contain links to third-party websites that we do not own or control. Vitality Collective Inc. is not responsible for the content, policies, or practices of these websites. It is your responsibility to review the terms and policies of third-party sites before engaging with them.

11. Limitation of Liability

To the fullest extent permitted by law, Vitality Collective Inc., including its directors, officers, employees, agents, and affiliates, shall not be liable for any direct or indirect losses, damages, claims, or expenses arising from your use of the Site or its services. This includes, but is not limited to, damages related to loss of data, income, profit, or goodwill.

12. Indemnification

You agree to indemnify and hold harmless Vitality Collective Inc., its directors, officers, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) resulting from your use of the Site, services, or breach of these Terms.

These Terms and Conditions shall be governed by the laws of the Province of British Columbia, without regard to its conflict of law principles.

14. Dispute Resolution

In the event of any dispute between you and Vitality Collective Inc., the parties agree to first attempt to resolve the matter through informal discussions. If the dispute cannot be resolved, it will be submitted to a neutral mediator acceptable to both parties. Mediation costs will be shared equally. Mediation is non-binding.

Both parties retain the right to bring claims to small claims court or to seek injunctive relief where intellectual property is involved.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions will remain in effect.

16. Changes to the Terms

Vitality Collective Inc. reserves the right to update or amend these Terms at any time to ensure compliance with applicable laws or to reflect changes in our business operations. Any updates will be posted on the Site, and users will be notified via email if substantial changes occur.
